In the presence of a patent, a trademark, a design/model or a project that can lead to an invention, there are numerous situations in which a contract will be necessary. It can be, for example, in order to clarify the ownership of an invention when it is ambiguous, in order to settle an indirect exploitation of the right or in order to assign one or many IP rights together, or not, with a business transfer.
